1. Definitions
1.1 Company
XZPACE FZ-LLC, operating under the registered brand XZPACE®, licensed under RAKEZ (licence no. 5025458) at RAKEZ Al Hamra Industrial Zone-FZ RAK, United Arab Emirates.
1.2 Website
www.xzpace.com and any related sub-domains operated by XZPACE®.
1.3 Customer / You
Any individual or legal entity accessing, browsing, or purchasing from the Website.
1.4 Products
All furniture, upholstery, accessories, and related items offered by XZPACE®.
1.5 Custom / Made-to-Order Products
Products manufactured or modified specifically according to Customer specifications, dimensions, materials, finishes, or preferences beyond standard XZPACE® listings.
1.6 Ready-Made Products
Products offered for sale without customization and available for immediate or standard dispatch.
1.7 Manufacturing Defects — Definition
A Manufacturing Defect is strictly limited to an objectively verifiable structural or workmanship failure arising solely from XZPACE®'s manufacturing or assembly process that materially impairs the Product's intended functional use under normal residential or commercial conditions.
A Manufacturing Defect must:
- Exist at the time of delivery or manifest during the warranty period under normal use
- Be the direct result of faulty construction, assembly, or manufacturing workmanship
- Affect the Product's structural integrity, safety, or core functionality
- Be verifiable upon inspection by XZPACE® or its authorized representatives
Manufacturing Defects expressly exclude:
- Natural Material Characteristics — wood grain, knots, mineral streaks, oxidation, fabric weave or dye variation, natural aging.
- Aesthetic / Subjective Factors — personal dissatisfaction with colour, texture, comfort, or appearance; differences between renders, samples, and the final product.
- Normal Wear & Usage — scratches, dents, stains, fading, or marks occurring after delivery.
- Environmental & Site Conditions — damage from humidity, heat, sunlight, air conditioning, moisture, or temperature fluctuation.
- Handling, Installation & Third-Party Actions — damage after delivery, improper installation, relocation, or unauthorised repair.
- Customer-Provided Specifications — issues arising from Customer-approved measurements, materials, finishes, or designs.
The determination of whether a condition constitutes a Manufacturing Defect rests solely with XZPACE® following inspection. XZPACE® reserves the right to determine the appropriate remedy.
2. Eligibility & Account Responsibility
2.1 Age & Legal Capacity
You must be at least 18 years old and legally capable of entering into binding contracts under UAE law.
2.2 Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
2.3 Information Accuracy
You must provide accurate, complete, and current information. XZPACE® shall not be liable for delays, losses, or errors caused by incorrect or incomplete information provided by the Customer.
3. Orders & Acceptance
3.1 Order Placement
Placing an order constitutes an offer to purchase. An order is only deemed accepted once XZPACE® issues an official confirmation in writing (including email or system-generated confirmation).
3.2 Right to Refuse or Cancel Orders
XZPACE® reserves the right to refuse or cancel any order due to, but not limited to:
- Pricing or typographical errors
- Material unavailability or production feasibility constraints
- Technical or system errors
- Suspected fraud or misuse
- Delivery locations outside XZPACE® shipping coverage
3.3 Binding Commitment
Once the Customer confirms specifications and XZPACE® issues an order confirmation, the order becomes binding. No amendments or cancellations are accepted after production commences unless expressly approved in writing by XZPACE®.
3.4 Quotation Validity
Unless otherwise stated, quotations remain valid for 3 calendar days from the date of issue.
3.5 Refund Obligation
If XZPACE® cancels an accepted order, any payments received will be refunded to the original payment method.
4. Pricing & Payments
4.1 Currency & VAT
All prices are listed in UAE Dirhams (AED) and are subject to UAE VAT in accordance with applicable law.
4.2 Pricing Errors
XZPACE® reserves the right to correct pricing errors at any time. If the Customer does not accept the corrected price and production has not commenced, the order may be cancelled and fully refunded.
4.3 Payment Terms
Payment terms are as stated in the Seller's quotation or invoice. Failure to pay may result in order suspension, delivery delay, or cancellation. Late payments may incur administrative or banking charges.
4.4 Payment Gateways
Payments are processed through authorized third-party providers. XZPACE® does not store or process payment card details.
5. Product Descriptions & Materials Disclaimer
5.1 Visual Representation & Natural Material Variations
All product images, renders, samples, and visual materials are for illustrative purposes only. Final products may vary in appearance due to materials, lighting, production techniques, and handcrafted processes.
All woods, fabrics, stones, and metals used by XZPACE® are derived from natural sources. Each piece may exhibit unique characteristics including variations in grain, color tone, texture, and markings. These are inherent to natural materials and do not constitute manufacturing defects.
5.2 Craftsmanship Tolerances
Minor variations in dimensions, alignment, finishes, or detailing are inherent to handcrafted production and fall within accepted industry tolerances. Slight differences between digital renders, photographs, physical samples, and the final product may occur. Such variations shall not be treated as defects or grounds for rejection, return, or refund.
6. Custom & Made-to-Order Products
6.1 Final Sale
Custom and Made-to-Order Products are final sale and non-returnable, except in cases of a verified Manufacturing Defect as defined in Section 1.7.
6.2 Production Commitment
Once production has commenced, changes, amendments, or cancellations are not possible and deposits or advance payments are non-refundable, covering materials sourcing, labor allocation, and production scheduling.
6.3 Lead Times
All production and delivery timelines are estimates. Delays may occur due to supply chain, production, or external factors beyond XZPACE®'s control.
7. Delivery & Site Access
7.1 Customer Responsibility
The Customer is responsible for ensuring:
- Accurate measurements and clear access points
- Adequate elevator or stair access and head clearance
- All necessary permits, approvals, or building management authorization
7.2 Delivery Dates
Delivery dates are estimates only. XZPACE® shall not be liable for delays caused by supply chain disruptions, material shortages, force majeure, or site access restrictions.
7.3 Failed Delivery
XZPACE® shall not be liable for failed deliveries caused by site constraints, incorrect information, or Customer unavailability. Additional charges may apply for re-delivery.
8. Cancellations, Returns & Amendments
8.1 Ready-Made Products
- Cancellations accepted within 3 calendar days of order confirmation, provided no special requests or customization applies
- Only if production, preparation, or dispatch has not commenced
- Any incurred costs (materials, handling) may be deducted from any refund
8.2 Custom / Made-to-Order Products
- Non-cancellable once production begins
- Deposits and advance payments are non-refundable
8.3 Returns
Products supplied in accordance with approved specifications cannot be returned. Returns are accepted only when:
- Authorized in writing by XZPACE®
- The product is unused and in its original condition
- Inspection by XZPACE® confirms eligibility
The following items are non-returnable in all circumstances: custom-made or customized products; site-fitted or installed products; discounted or clearance items.
8.4 Amendments
Post-confirmation amendments are not guaranteed. Approved amendments may affect pricing, extend delivery timelines, and require written re-confirmation. Amendments are generally not permitted once production has begun.
9. Intellectual Property
9.1 Ownership
All designs, drawings, images, text, content, trademarks, and intellectual property displayed on the Website are the exclusive property of XZPACE®.
9.2 Restrictions
No content may be copied, reproduced, resold, or used commercially without the prior written consent of XZPACE®.
10. Limitation of Liability
10.1 Excluded Damages
XZPACE® shall not be liable for indirect, incidental, or consequential damages, including loss of profit or delays beyond reasonable control.
10.2 Liability Cap
XZPACE®'s total liability shall not exceed the amount paid for the relevant Product. Liability is strictly limited to XZPACE®'s scope of work and supplied items only.
11. Warranty
11.1 Warranty Period
XZPACE® provides a 1-year limited warranty from the date of delivery.
11.2 Coverage
This warranty covers Manufacturing Defects (as defined in Section 1.7) under normal residential use.
11.3 Exclusions
The warranty does not cover:
- Normal wear and tear
- Natural material aging, patina, or color changes
- Misuse, neglect, or improper handling
- Unauthorized repairs, modifications, or installation
- Commercial, abnormal, or non-residential use
- Damage caused by environmental conditions (humidity, sunlight, heat, moisture)
11.4 Defect Claims
Claims must be submitted within 1–3 calendar days of delivery. Claims submitted after this period may be rejected. All assessments are conducted solely by XZPACE®.
11.5 Remedy
Where a valid Manufacturing Defect is confirmed, XZPACE® shall, at its sole discretion: repair the affected component; replace the Product or relevant part; or offer a partial or full refund proportionate to the defect.
11.6 Statutory Rights
This warranty is provided in addition to, and does not affect or exclude, any statutory rights available to consumers under applicable UAE consumer protection laws.
12. Refund Method
Where a refund is approved, it will be processed:
- To the original payment method
- Within 14–21 business days of approval
- Net of any applicable deductions (materials, labor, or handling costs already incurred)
13. Force Majeure
Neither party shall be liable for failure or delay caused by events beyond reasonable control, including but not limited to: natural disasters, pandemics, strikes, governmental actions, or global supply disruptions.
14. Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of UAE courts.
By placing an order with XZPACE®, the Customer confirms full acceptance of these Terms & Conditions, the Returns & Cancellation Policy, and all associated policies published on the Website.
Key Reminders
- Custom-made products cannot be cancelled or returned once production begins.
- All XZPACE® products are handcrafted using natural materials — variations in colour, grain, and texture are not defects.
- Manufacturing defect claims must be raised within 1–3 days of delivery.
- Your statutory consumer rights under UAE law remain fully protected.
